These Terms of Service ("Terms") govern your use of shanimaurya.com and any freelance services provided by Shani Maurya ("I", "me", "my"). By accessing the Website or engaging my services, you agree to these Terms. If you disagree with any part, please do not use the Website or hire me.
1. About me
I am Shani Maurya, an independent freelance web developer and digital marketer based in Delhi, India. I operate as a sole-proprietor freelance business. Contact: contact@shanimaurya.com.
2. Use of the Website
You agree that you will not:
- Copy, reproduce or republish substantial portions of the Website without written permission.
- Attempt to hack, scrape aggressively, reverse-engineer or disrupt the Website.
- Use the Website for any unlawful purpose or to harass others.
- Impersonate me or any other person in forms, comments or email.
3. Intellectual property
All text, graphics, logos, code, design and content on the Website — except third-party assets identified as such — are owned by Shani Maurya and protected by copyright. You may share short excerpts with a clear credit and link back to the original page.
For client projects, the ownership of deliverables transfers to the client upon receipt of the final payment, as per the signed project scope or contract. Until then, all deliverables remain my property.
4. Engagements & quotes
Any enquiry you submit is an invitation to discuss a potential engagement — not an automatic contract. A binding engagement exists only once a written scope / contract is signed (or accepted in writing via email) and a deposit is received.
5. Pricing & payments
- Prices shown on the Website are indicative starting points and may change.
- Custom quotes are valid for 15 days from the date issued, unless mentioned otherwise.
- Fixed-price projects generally follow a 40% / 30% / 30% payment schedule (kickoff / midpoint / launch).
- Retainers are billed monthly in advance and are non-refundable for the current month.
- Delayed payments may pause the project and attract a simple late fee as agreed in the contract.
- All prices are exclusive of applicable taxes (e.g. GST), unless stated otherwise.
6. Revisions & scope
Each project includes a reasonable number of revisions as specified in the scope. Work outside the agreed scope is billed separately (hourly or as a mini-scope). I'll always warn you in writing before extra charges apply — no surprise invoices.
7. Delays caused by client
If a project is delayed because of pending feedback, missing content, missing access credentials or slow approvals from your side, the timeline shifts accordingly. I'll always check in and remind you, but the delay isn't on me.
8. Third-party tools and costs
Third-party costs — domain registration, hosting, premium plugins, themes, stock media, ad spend, SMS/email credits, payment-gateway fees, AI / LLM API usage — are passed through to you at cost and are over and above my fees, unless explicitly bundled in the quote.
9. Confidentiality
I treat your business information, credentials and data as confidential and only share them with sub-contractors under the same confidentiality obligations. I am happy to sign a standard NDA on request.
10. Limitation of liability
To the maximum extent permitted by law, my total liability for any engagement is limited to the amount actually paid by the client for that specific project (or for the last one month of a retainer). I am not liable for any indirect, incidental or consequential damages such as lost profits, goodwill, or data loss. This does not limit liability that cannot be excluded under Indian law.
11. Termination
Either party may terminate an engagement with written notice. On termination, the client pays for all work completed up to that point. Retainers require 14 days' written notice. Upon termination, all client data and credentials in my possession are handed over or securely deleted on request.
12. Governing law and jurisdiction
These Terms are governed by the laws of India. Any disputes will be resolved through good-faith discussions first, and if that fails, in the courts of Delhi, India.
13. Changes to these Terms
I may update these Terms at any time. The "Last updated" date at the top shows the latest version. Continued use of the Website or services after changes means you accept the updated Terms.
